Software End User License Agreement
Effective October 21, 2026
This End User License Agreement (this “Agreement”) is between ArcherPoint, LLC (“ArcherPoint”, “we”, “us”) and the organization that obtains a license to the Software (“Licensee”, “you”).
You accept this Agreement by checking the acceptance box at checkout, signing an Order, or installing, activating or using the Software, whichever happens first. The person who accepts confirms they have authority to bind the organization. If you do not accept, do not install or use the Software.
1. Definitions
“Authorized Users” means your employees and individual contractors, and the employees of any Microsoft partner, consultant or managed service provider that you engage to implement, administer or support your Business Central environment, in each case while acting on your behalf.
“Customer Data” means the data you or your Authorized Users enter into or process with the Software in your Business Central environment.
“Documentation” means the user and technical guides we make available for the Software.
“Order” means any of the following that identifies the Software and the fees: (a) the confirmation of a purchase made through checkout in the Software or on our website, (b) an order form or quote you sign, or (c) a statement of work that names the Software. Each Order is part of this Agreement.
“Software” means the ArcherPoint apps for Microsoft Dynamics 365 Business Central and any other software named in an Order, including Updates and the Documentation.
“Subscription Term” means the billing period stated in the Order (for example, monthly or annual), including each renewal.
“Tenant” means a single Microsoft Entra tenant, which may contain several Business Central environments and companies.
2. License
2.1 Grant. Subject to this Agreement and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable license, during the Subscription Term, for your Authorized Users to install and use the Software in your Business Central environments for your internal business purposes.
2.2 License models. The Order states which applies:
- Per Tenant (the default for Business Central apps). All Authorized Users in all environments and companies of one Tenant.
- Per user. The number of seats stated in the Order. A seat is assigned to the first user or installation that uses it and stays with them. A seat unused for 60 days is released and may be used by someone else.
- Perpetual. Only if the Order expressly says so, for the version and number of installations it names.
2.3 Affiliates. You may let your affiliates use the Software under your license only if the Order covers their Tenant. You are responsible for their compliance.
3. Restrictions
You will not, and will not allow anyone else to:
- use the Software beyond the scope of Section 2, or in a Tenant not covered by an Order;
- copy, modify or create derivative works of the Software, except configuration and extension through the extension points the Software publishes for that purpose;
- reverse engineer, decompile or disassemble the Software, except to the extent applicable law permits despite this restriction;
- remove or bypass any license validation, copy protection or security feature, or any proprietary notice;
- rent, resell, sublicense or provide the Software to third parties as a service, other than to Authorized Users under Section 1;
- use the Software to build a competing product, or in violation of law.
4. Trials and sandbox use
4.1 Trials. Each app may offer one free trial per Tenant, of 30 days counted from installation, which an administrator may extend once by 30 days.
4.2 Sandbox environments. You may use the Software without charge and without time limit in Business Central sandbox environments for testing, evaluation, development and training. Sandbox use may not be used to run your production business.
4.3 No warranty. Trials and sandbox use are provided “as is”, without the warranty in Section 13.1 and without support commitments.
5. Fees, payment and taxes
5.1 Fees. You will pay the fees in the Order, in advance for each Subscription Term. For online purchases, payment is made by card through our payment processor.
5.2 Taxes. Fees do not include taxes. You are responsible for sales, use, value-added and similar taxes, other than taxes on our income. We will add taxes to the invoice where we are required to collect them.
5.3 Refunds. Fees are non-refundable, except where required by law, and except that we will refund a renewal charge you dispute within 7 days of the charge if you have not used the Software since the renewal.
5.4 Failed payment. If a renewal payment fails, the Software keeps working for 30 days after the end of the paid Subscription Term while payment is retried. After that, Section 7 applies.
6. Renewal and cancellation
6.1 Automatic renewal. Each Subscription Term renews automatically for the same length unless canceled. For annual terms we will email the billing contact between 15 and 45 days before renewal with the renewal date and amount.
6.2 Price changes. We may change prices for a renewal by giving at least 30 days’ notice before it.
6.3 Canceling. You may cancel at any time from Manage Subscription in the Software or by contacting us. Cancellation takes effect at the end of the current Subscription Term; you keep full use until then.
7. When a subscription ends
When a Subscription Term ends without renewal, a trial ends, or the 30-day period in Section 5.4 passes:
- you keep the ability to open, read and export your Customer Data with the Software, and you may keep it installed for that purpose;
- the Software stops performing its functions on new work until you renew. Depending on the app, this can mean it refuses to post, release or delete the documents it controls. An administrator can turn the Software off in its setup, and Business Central then works as it would without it;
- you may uninstall the Software at any time. Uninstalling does not delete Customer Data unless you choose to.
For a Perpetual license that is terminated under Section 15, you will stop using and delete the Software.
8. License validation
The Software checks its license with our licensing service and needs an internet connection to do so. The check may run automatically and may receive updates to the validation function. To run it, our licensing service processes your Tenant ID and organization name, environment names, and for per-user licenses an identifier for each seat holder (a Microsoft Entra object ID). Section 10 and our privacy notice describe how we handle this information.
9. Third-party services and AI features
9.1 Your providers. Some features send data to services you choose and configure with your own account and keys, such as Microsoft Azure AI services or an AI model provider. Those features are off until an administrator turns them on in Business Central. When you use them, Customer Data goes from your environment directly to that provider under your agreement with it. We do not receive that data, and we are not responsible for the provider’s services or how it handles the data. Our page for each app describes what is sent.
9.2 AI output. Output from AI features may be incomplete or wrong. The Software presents it for review, and you are responsible for checking it before relying on it, in particular for accounting, tax and legal decisions.
9.3 Microsoft. The Software runs on Microsoft Dynamics 365 Business Central, which Microsoft licenses to you separately. If Microsoft changes Business Central in a way that requires material changes to the Software, we will tell you. Microsoft is not a party to this Agreement.
10. Data
10.1 Customer Data. Customer Data stays in your Business Central environment and belongs to you. We do not access it except when you give us access to provide support.
10.2 Information we collect. We collect license validation information (Section 8), diagnostic and usage information the Software sends to us, and the contact details you give us when you buy, request a license or ask for support. We use it to provide, secure, support and improve the Software and to verify compliance with this Agreement. We do not sell it. Our privacy notice at https://archerpoint.com/resources/resource-library/privacy-notice/ explains what we keep, for how long, and how to ask us to delete it.
10.3 No training. We do not use Customer Data to train AI models.
11. Updates and support
We provide updates, fixes and new versions of the Software that we make generally available to licensees during the Subscription Term, and support as described in the Documentation or your Order. Updates may be delivered automatically through Microsoft AppSource or Business Central. Support covers the current version of the Software.
12. Intellectual property and feedback
The Software is licensed, not sold. We and our licensors keep all rights in the Software that this Agreement does not expressly grant. If you send us suggestions or feedback, we may use them without obligation to you.
13. Warranty and disclaimer
13.1 Limited warranty. For 30 days after a paid license starts, the Software will perform substantially as the Documentation describes. If it does not and you tell us within that period, we will, at our option, fix or replace it or, if we cannot, end the license for that Software and refund the fees you paid for the unused part of the Subscription Term. This is your only remedy for breach of this warranty. It does not apply to problems caused by misuse, unauthorized changes, or software or services we do not provide.
13.2 Disclaimer. EXCEPT AS STATED IN SECTION 13.1, THE SOFTWARE IS PROVIDED “AS IS”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
14. Limitation of liability
14.1 TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED THEY WERE POSSIBLE.
14.2 TO THE EXTENT THE LAW ALLOWS, EACH PARTY’S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES PAID AND PAYABLE BY YOU FOR THE SOFTWARE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT THAT CAUSED IT.
14.3 Sections 14.1 and 14.2 do not limit your obligation to pay fees, or either party’s liability for breach of Section 3 or infringement of the other party’s intellectual property. Our obligations under Section 14.4 are subject to the limit in Section 14.2.
14.4 Infringement claims. We will defend you against a third-party claim that the Software, as we provide it, infringes a United States patent, copyright or trademark, and pay the damages and costs finally awarded, if you notify us promptly and let us control the defense. We may instead modify the Software, obtain a license for you, or end the license and refund prepaid fees for the unused term. This does not cover claims arising from combinations with items we did not provide, changes you made, or AI output. This is our entire obligation for infringement claims.
15. Term and termination
This Agreement lasts while you hold a license. Either party may terminate it on written notice if the other party materially breaches it and does not cure the breach within 30 days of notice, or immediately if the other party becomes insolvent. If we terminate for your breach, you are not entitled to a refund. If you terminate for our breach, we will refund prepaid fees for the unused part of the Subscription Term. Sections 3, 5 (for amounts owed), 7, 10, 12, 13.2, 14, 16 and 17 survive termination.
16. Compliance checks
You will keep records reasonably needed to show your use of the Software complies with this Agreement. Not more than once in any 12 months, and on at least 30 days’ written notice, we may ask you to certify your compliance or, if we have a reasonable basis to believe you are out of compliance, review those records during business hours. If use exceeds what you have paid for, you will pay for the excess at the list price then in effect; if the excess is more than 5%, you will also pay the reasonable cost of the review.
17. General
17.1 Governing law and courts. This Agreement is governed by the laws of the State of North Carolina, excluding its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Each party submits to the jurisdiction of the state courts located in Wake County, North Carolina, and the United States District Court for the Eastern District of North Carolina, for any dispute arising from this Agreement. Either party may seek injunctive relief in any court to protect its intellectual property or confidential information.
17.2 Export and sanctions. You will comply with United States and other applicable export control and sanctions laws, and will not make the Software available in any embargoed country or to any person on a restricted-party list.
17.3 U.S. Government users. The Software is commercial computer software. Government users receive only the rights in this Agreement, as provided in FAR 12.212 and DFARS 227.7202.
17.4 Assignment. Neither party may assign this Agreement without the other’s consent, except that either party may assign it to a successor in a merger, acquisition, corporate reorganization or sale of substantially all of the relevant business or assets, with written notice to the other. Any other attempted assignment is void.
17.5 Notices. We may send notices to the email address associated with your purchase or account. You may send notices to legal@archerpoint.com or to ArcherPoint, LLC, 3800 Glenwood Avenue, Suite 200, Raleigh, NC 27612. Email notices are given when sent.
17.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
17.7 Changes to this Agreement. We may update this Agreement by posting a new version with a new effective date. A change applies to you from your next renewal, or sooner if you accept it. If a change materially reduces your rights, we will notify you at least 30 days before it applies to you, and you may cancel before then.
17.8 Order of precedence. If an Order and this Agreement conflict, the Order controls for that Order only, and only if it expressly says it overrides this Agreement. Any purchase-order terms you send do not apply.
17.9 Language. A French version of this Agreement is available at https://archerpoint.com/resources/resource-library/contrat-de-licence/. Licensees in Quebec receive the French version first. This English version controls elsewhere.
17.10 Entire agreement. This Agreement and each Order are the entire agreement between the parties about the Software and replace any earlier agreements about it. If any provision is unenforceable, the rest remains in effect. A waiver must be in writing. The parties are independent contractors.
